1. Acceptance of Terms

By accessing or using FreelanceConnect ("Platform", "Service", or "Site"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use or access our Platform.

2. Description of Service

FreelanceConnect is an independent professional networking and marketplace platform that connects independent freelancers with clients seeking professional services. We provide online tools for profile creation, portfolio hosting, job posting, application submission, secure messaging, and project tracking.

3. Eligibility

You must be at least 16 years of age to register for an account or use this Platform. By using the Service, you represent, warrant, and confirm that you possess the full legal capacity and authority to enter into a binding contract under applicable laws.

4. User Accounts and Security

  • Accuracy: You agree to provide true, accurate, current, and complete information during the registration process and to maintain the accuracy of your profile.
  • Account Security: You are solely responsible for maintaining the strict confidentiality of your account login credentials and passwords. You agree to notify us immediately at legal@freelanceconnect.info of any unauthorized access or breach of security.
  • Liability: You are entirely responsible for any and all activities, communications, and contractual obligations that occur under your account.
  • Enforcement: We reserve the right, at our sole discretion, to suspend, restrict, or terminate accounts that provide fraudulent information or violate these Terms.

5. User Conduct and Platform Integrity

You explicitly agree that you will not use the Platform to:

  • Engage in any illegal, unauthorized, or deceptive activities.
  • Post false, misleading, defamatory, or fraudulent content, including fake jobs or fabricated credentials.
  • Harass, abuse, stalk, or cause harm to any other user of the platform.
  • Transmit spam, unsolicited commercial messages, mass repetitive job applications, or phishing links.
  • Impersonate any individual, company, or entity, or misrepresent your affiliation with any person or organization.
  • Interfere with, disrupt, or compromise the technical infrastructure, performance, or security of our servers and networks.
  • Utilize automated scripts, scrapers, crawlers, or spiders to harvest data or access the Platform without our express written permission.
  • Infringe upon the copyrights, trademarks, patents, or intellectual property rights of others.

6. Content and Intellectual Property Rights

  • User Content Ownership: You retain full ownership of all text, images, portfolios, and materials you publicly post or upload directly to the Platform ("User Content").
  • Platform License: By posting content on FreelanceConnect, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, display, modify, and distribute your content solely for the operational, promotional, and marketing purposes of running the Platform.
  • Representation: You warrant that you own or possess all necessary rights and permissions to publish the content you submit and that it does not infringe upon any third-party rights.
  • Moderation: We reserve the right to review, monitor, and remove any content that violates these Terms or applicable local and international laws without prior notice.

7. Relationship of Parties, Job Postings, and Work Deliverables

  • Independent Relationship: FreelanceConnect acts solely as an online venue connecting users. We are not an employer, employment agency, joint venture, or partner of any user. Freelancers operate strictly as independent contractors.
  • No Endorsement: Clients are solely responsible for the accuracy and legality of their job postings. Freelancers are solely responsible for the truthfulness of their profiles and proposals. We do not vet, guarantee, or assume liability for the quality, safety, legality, or execution of the projects posted.
  • Work Product Ownership: Unless otherwise agreed upon in a separate written agreement between the Client and the Freelancer, once a Client has paid a Freelancer in full for services rendered, the intellectual property rights of the custom work deliverables transfer entirely to the Client. FreelanceConnect claims no ownership over any work deliverables created between users.
  • Legal Compliance: Users are exclusively responsible for complying with all local tax obligations, business registrations, labor standards, and employment laws applicable to their specific jurisdictions.

8. Anti-Circumvention (Off-Platform Protection)

To protect the integrity of the marketplace, users are strictly prohibited from intentionally bypassing, circumventing, or avoiding the Platform's communication tools, payment systems, or fee structures.

  • You agree not to solicit, share direct private contact information (such as personal phone numbers, external messaging apps, or direct bank accounts), or contract outside of the Platform with a user you initially discovered or met through FreelanceConnect prior to a project being formalized within the system.

9. Platform Monitoring and Enforcement

We utilize a combination of manual oversight and automated systems to maintain marketplace quality, protect user safety, and enforce these guidelines (including spam detection, rate limiting, and behavioral reviews). Violations of these Terms may result in immediate disciplinary actions, including warnings, temporary feature restrictions, or permanent account termination at our absolute discretion.

10. Disclaimers

The Platform is provided entirely on an "as is" and "as available" basis, without warranties of any kind, either express or implied. FreelanceConnect does not warrant that the Service will be completely uninterrupted, secure, or free from operational errors, viruses, or bugs. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by applicable law, FreelanceConnect, its subsidiaries, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, loss of data, business interruptions, or damages arising out of or related to your use of, or inability to use, the Platform, even if advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless FreelanceConnect, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, expenses, or legal fees arising directly from your misuse of the Platform, your breach of these Terms, or your violation of any third-party rights or applicable laws.

13. Termination

We reserve the right to suspend or terminate your account and block your access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including but not limited to a material breach of these Terms. Upon termination, your right to access and use the Service will cease instantly.

14. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by, interpreted, and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles. Any legal action, suit, or judicial proceeding arising out of or relating to these Terms shall be brought exclusively before the competent courts of the Philippines.

15. Changes to These Terms

We reserve the right, at our sole discretion, to modify, update, or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice by posting a prominent notice on the Platform dashboard or by sending an email to your registered account prior to the new terms taking effect. Your continued use of the Platform following the effective date of any changes constitutes a binding acceptance of those modifications.
